Introduction

This Agreement is made between INOVACAO LIMITED, owner of the Brand and website HOTELPERHOUR, (herein referred to as "we", "our", or "HOTELPERHOUR") and you, the Partner Hotel ("you" or "the Partner").

HOTELPERHOUR and Partner Hotel are jointly and individually referred to as Parties and/or Party.

By partnering with HotelPerHour or listing your property on our platform, you agree to be bound by the terms outlined below.

Whereas

INOVACAO LIMITED, under the Brand and website HOTELPERHOUR runs a specialised short-stay booking platform that allows guests reserve hotel rooms in Lagos per hour.

INOVACAO LIMITED, under the Brand and website HOTELPERHOUR has proposed a partnership with the Partner Hotel to list the Partner Hotel's available rooms for hourly bookings on the booking platform.

1. Purpose of Agreement

The Partner Hotel formally agrees to partner with HOTELPERHOUR to list its available rooms for flexible, hourly bookings, thereby expanding its market reach and optimizing revenue through tailored accommodation options for short-stay guests.

2. Scope/Terms of Services

1. 2.1 The Partner Hotel shall provide HOTELPERHOUR with accurate and up-to-date information regarding its available rooms, pricing, amenities and specific hourly booking configurations.
2. 2.2 HOTELPERHOUR shall facilitate the display and booking of the Partner Hotel's rooms, managing the reservation process and associated payment transactions.
3. 2.3 Confirmation of all bookings facilitated by HOTELPERHOUR shall be promptly issued by The Partner Hotel.
4. 2.4 Any cancellations or modifications made by the guest to the Partner Hotel must be communicated promptly to HOTELPERHOUR.
5. 2.5 The Partner Hotel shall ensure full compliance with all hospitality regulations before enlisting with HOTELPERHOUR.

3. Financial Terms

1. 3.1 The Partner Hotel agrees to pay HOTELPERHOUR a commission of 10% on the net revenue generated from all hourly bookings completed through the platform.
2. 3.2 Payments to The Partner Hotel, less HOTELPERHOUR's commission, shall be remitted every week to the designated bank account provided during onboarding.
3. 3.3 HOTELPERHOUR shall provide the Partner Hotel with detailed reports of bookings and revenues.

4. Independent Contractor Relationship

This relationship is that of an independent contractor and not representative or agent of the other Party. Nothing in this Agreement shall be construed as creating a partnership, joint venture or employer-employee relationship between the Parties.

5. Term & Termination

1. 5.1 This Agreement shall commence on the Effective Date and continue for an initial term of 12 months, automatically renewing unless terminated by either Party.
2. 5.2 Either Party may terminate this Agreement by providing 30 days written notice to the other Party.
3. 5.3 This Agreement may be terminated immediately in the event of fraud, abuse, or material breach.
4. 5.4 Upon termination, all outstanding obligations become payable within a week.

6. Governing Law / Dispute Resolution

1. 6.1 This Agreement shall be governed by the laws of the Federal Republic of Nigeria.
2. 6.2 Any conflict shall be discussed mutually by the Parties.
3. 6.3 If unresolved, the matter shall be referred to arbitration under the Arbitration and Mediation Act 2023, with a single arbitrator appointed by mutual agreement or by the Chartered Institute of Arbitrators (Nigeria Branch).
4. 6.4 The seat of arbitration shall be Nigeria; the venue, Lagos; and the language shall be English. The decision of the Arbitrator shall be final.

7. General Terms

1. 7.1 Validity of Agreement: This Agreement contains the entire Agreement between the Parties with respect to its subject matter.
2. 7.2 This Agreement supersedes all prior negotiations, understandings, or representations.
3. 7.3 Modifications may occur after 15 days written notice from one Party to the other.
4. 7.4 Indemnification: The Partner Hotel shall indemnify and hold harmless HOTELPERHOUR from any claims, losses, or damages arising from its breach or negligence.
5. 7.5 Intellectual Property: All trademarks, logos, and marketing materials remain the sole property of HOTELPERHOUR.
6. 7.6 Confidentiality: Both Parties shall keep confidential all business and guest data, surviving termination of this Agreement.
7. 7.7 Data Protection: Each Party shall comply with Nigeria’s Data Protection Act 2023 and all related laws.
8. 7.8 Force Majeure: Performance delays due to force majeure must be reported in writing within 72 hours of occurrence.

8. Refund Policy

1. 8.1 Approved refunds are processed within 3-7 Business Days, subject to administrative charges. Refunds processed through the platform will be deducted from the Partner Hotel’s next payout; if payment was made directly to the Partner Hotel, the Partner Hotel handles the refund. If the partner fails to provide the booked service (e.g., overbooking or poor conditions), the partner bears full refund responsibility, and the platform may deduct the amount from future payments.
2. 8.2 Where a guest complains of a booking, the Partner Hotel shall be required to provide free accommodation for the guest’s next booking.
3. 8.3 7.4.The Partner Hotel shall be liable to pay a 20% (twenty percent) penalty fee for advertising and allocating rooms that are not available.
